1. Scope of agreement
This Service Provider Agreement ("Agreement") describes how Surf Online ("Provider") delivers Meridian, a no-code Discord bot builder and hosting platform offered under the Meridian trade name, to you ("Customer"). By using paid or hosted features, you agree to this Agreement together with our Terms of Service and Privacy Policy.
2. Services and availability
Provider uses commercially reasonable efforts to keep Meridian available, except during maintenance or events outside our control (including outages at Discord, hosting partners, or other subprocessors). Support is available through our help center, documentation, and community channels. We may modify, suspend, or discontinue features with reasonable notice where practicable.
3. Service level commitments
Meridian relies on third-party infrastructure. We do not guarantee uninterrupted service when upstream providers fail or change their APIs. We prioritize fixing issues within our control.
4. Use of the platform
Customer receives a non-exclusive, non-transferable right to use Meridian to build and host Discord bots through the no-code interface. Customer is responsible for all activity under their account and for ensuring bots comply with Meridian policies and applicable third-party platform rules.
5. Data security and privacy
We apply industry-standard safeguards to protect Customer data and hosted configurations. Processing is described in our Privacy Policy. Customer is the controller for personal data their bots collect and must comply with applicable privacy laws (including GDPR and CCPA where relevant).
6. Intellectual property
Provider retains all rights in Meridian, its interface, modules, and underlying software. Customer retains ownership of configurations they create and grants Provider a license to host and execute them to provide the Service.
7. Payment and term
Fees follow the plans on our pricing page and are billed in advance on the cycle you select. Payment methods may include Stripe, account credit, and gift cards.
This Agreement continues until terminated. If payment fails, hosted services may be suspended after a 7-day grace period. Customer may cancel at any time; refunds follow our Terms of Service.
8. Limitation of liability
To the maximum extent permitted by law, Provider's total liability for claims under this Agreement is limited to fees paid by Customer in the three (3) months before the claim. Provider is not liable for indirect, incidental, or consequential damages, including lost profits or data.
9. Termination
Either party may terminate this Agreement. On termination, access ends and hosted bots stop. Provider may terminate immediately for breach, abuse, or legal requirements.
10. Governing law
This Agreement is governed by the laws of the Netherlands. Disputes are subject to the courts of Gelderland, the Netherlands, unless mandatory consumer law requires otherwise.
