Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Meridian (meridian.surf), a no-code Discord bot builder and hosting platform.

Who you contract with. Meridian is a trade name of Surf Online, eenmanszaak, registered at Compagnie 13, 6711 VP Ede, Nederland, KvK 42127201; omzetbelastingnummer 527407975B01; BTW-id NL005515281B63 ("we", "us", or "our"). Contact: legal@meridian.surf.

By accessing or using the Service, you agree to these Terms and to our other policies linked from the policies center. If you do not agree, do not use the Service.

2. Service description

Meridian lets you build, configure, and host Discord bots without writing code. The core product is a visual flow builder, hosted bot runtime, and related tools such as billing, collaboration, transcripts, add-ons, and developer integrations.

You configure bots through the platform interface. You cannot upload or run custom code on Meridian today. We may add or change features over time.

3. Accounts and security

You need an account to use most features. You may sign in through supported authentication methods we make available from time to time (for example, linked accounts, passkeys, or device-based sign-in flows).

Age and capacity. You must be at least 16 years old, or the higher age of digital consent / contractual capacity required where you live, and able to form a binding contract. Meridian accounts are not offered to children under 16 in the Netherlands / EEA where that age applies. If you use Meridian on behalf of a business or other legal entity, you confirm you have authority to bind that entity to these Terms.

You are responsible for activity under your account and for keeping access credentials secure. Tell us promptly if you suspect unauthorized access. We are not liable for losses caused by your failure to protect your account.

4. Discord and third-party platforms

Meridian depends on Discord and other third-party services. Your bots interact with Discord under Discord's own terms and policies. You are solely responsible for how your bots behave on Discord and for compliance with applicable third-party rules.

Meridian provides hosting infrastructure and tools. We are not Discord's agent and do not moderate Discord on their behalf. We may take action on Meridian when permitted by law and these Terms, including suspension or termination for violations of acceptable use rules in later sections of this document.

5. Intellectual property and DMCA

Meridian and its original content, features, modules, and underlying software are owned by Surf Online. You retain ownership of the bot configurations you create. You grant us a non-exclusive, worldwide, royalty-free license to host, execute, back up, and display your configurations as needed to provide the Service.

DMCA: If you believe content hosted on Meridian infringes your copyright, send a notice to legal@meridian.surf with the information required by applicable law. We may terminate repeat infringers.

6. Fees, billing, and refunds

Some features require payment. Current plans and limits are described on our pricing page. We may change prices with at least 30 days' notice.

We accept payment through Stripe, Meridian credit (wallet balance), and gift cards. Pay with Roblox may be offered in the future. We do not store full payment card numbers on our servers.

Wallet, gift cards, and donations

Wallet balance. Where Meridian offers a wallet, credit is prepaid Meridian credit for Meridian services (subscriptions, hosting, or other in-product purchases we enable). Unless mandatory law requires otherwise: wallet credit is non-transferable between Meridian accounts; has no cash redemption and cannot be withdrawn to a bank account or card; is not interest-bearing; and we may adjust or reverse wallet credit that was funded by a payment that is later refunded, charged back, or reversed.

Gift cards / promo codes. Gift cards or redemption codes may be offered subject to terms shown at purchase or redemption (value, expiry if any, eligible plans). Lost, stolen, or unauthorized codes may not be replaced except where required by law or where we reasonably can verify unused value. Gift cards are not redeemable for cash unless mandatory law requires.

Donations / tips. If Meridian enables donations, tips, or similar, we will label clearly whether funds are (a) a platform tip to Surf Online, (b) a payment facilitating a transfer related to a bot/creator feature, or (c) another model we disclose at the time. Until a creator-payout marketplace is launched and documented, treat any in-product donation control as disclosed at point of payment. Do not rely on Meridian to hold funds as a bank or payment institution. Fees, VAT, and refund eligibility (if any) are shown at checkout or in the feature terms. Chargebacks on donation-like payments may result in wallet or feature clawbacks as described above.

Paying with wallet or gift credit still constitutes payment for the underlying service under this section, including withdrawal rules for consumers where applicable.

Refunds and consumer withdrawal

Statutory carve-out. Nothing in these Terms limits refund or withdrawal rights you have under mandatory applicable law.

Consumers in the EEA/UK (and other jurisdictions with equivalent rules). If you buy Meridian as a consumer, you may have a 14-day right of withdrawal from the day the contract is concluded, subject to exceptions and conditions under the Consumer Rights Directive and national implementing law (in the Netherlands, including Book 6 BW distance-contract rules).

Digital content / services beginning during the withdrawal period. Meridian hosting and paid digital features are typically performed immediately when you subscribe. Under applicable law, you may lose the right of withdrawal once performance of the digital content or service begins, if you: (1) expressly request that performance begin during the withdrawal period; and (2) acknowledge that you will lose your right of withdrawal once performance begins; and we provide confirmation as required by law.

We collect that request and acknowledgment at paid checkout (unticked checkbox; see our checkout UI when available). If you do not give that acknowledgment, we may delay starting paid hosting until the withdrawal period ends or as otherwise required, or refuse the order if immediate performance is essential to the product.

After a valid waiver (or where withdrawal does not apply). Payments are otherwise non-refundable except where required by law. Because we allocate hosting resources when paid access starts, we do not offer voluntary prorated refunds for partial billing periods if you cancel early after performance has begun and any applicable withdrawal right has been validly lost or does not apply.

Free tier. Free features do not involve a paid distance contract for that tier; paid upgrades and add-ons are separate contracts subject to this section.

Plan changes. Mid-cycle upgrades may be charged on a schedule we describe at checkout or in-account; refund treatment follows this section and mandatory law.

Cancellation: You may cancel through your account. Paid access continues until the end of the current billing period.

Non-payment: If payment fails or your balance is overdue, we may suspend hosted services after a 7-day grace period.

Payment disputes and chargebacks

If you have a billing problem, contact support first so we can try to resolve it quickly (legal@meridian.surf or in-product support).

If a payment dispute or chargeback is opened, we may temporarily suspend paid features or the account pending investigation, especially where continued service would create a clear risk of loss. We will not treat every chargeback as automatic permanent termination.

We may restrict or terminate accounts after investigation where we reasonably determine there is friendly fraud, repeated abusive disputes, or clear misuse of the dispute process. We will give notice where practicable. Good-faith bank- or network-initiated disputes alone are not automatic grounds for a permanent ban.

7. Hosted content and data

You are responsible for backups of data processed by your bots. Meridian is not liable for data loss from outages, account termination, or other events.

You are the controller for personal data your bots collect from Discord users. We act as a processor for hosting that data. See our Privacy Policy for details.

We may remove content that violates these Terms, our other policies, applicable law, or third-party platform rules.

8. Disclaimer of warranties

Consumers. If you are a consumer, you may have mandatory rights regarding conformity of digital content and digital services (including repair, replacement, price reduction, or refund remedies under applicable law). Nothing in this section limits those mandatory rights.

Otherwise. Subject to the consumer paragraph above, the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation. Meridian depends on Discord and other third parties; their outages or policy changes are outside our control.

9. Limitation of liability

Mandatory consumer rights. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the mandatory laws of the Netherlands or other applicable mandatory consumer law, including rights under EU digital-content / digital-services conformity rules (Directive 2019/770 and national implementing law) where you qualify as a consumer.

What we do not exclude. We do not exclude or limit liability for death or personal injury caused by our negligence, for intent (opzet) or deliberate recklessness (bewuste roekeloosheid), for fraud, or for any other liability that Dutch law does not allow us to exclude.

Business users. If you use the Service as a business / professional user (not as a consumer), then to the fullest extent permitted by the laws of the Netherlands:

  • Surf Online is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service; and
  • Surf Online's total aggregate liability arising out of or relating to the Service or these Terms is limited to the fees you paid to Surf Online for the Service in the three (3) months before the event giving rise to the claim (or, if you have a separate Service Provider Agreement with a different cap, that SPA cap applies to the extent it is more specific and valid).

Consumers. If you are a consumer, the business-user cap and exclusions above apply only to the extent permitted by mandatory law; your mandatory rights remain unaffected.

10. Indemnification

You agree to defend, indemnify, and hold harmless Surf Online from claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your bots, or your breach of these Terms or third-party platform policies.

11. Termination

We may suspend or terminate your access immediately if you breach these Terms or if required to protect users, the Service, or third parties. You may request account deletion from Account → Danger zone. After termination for abuse, we may retain data as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. Disputes shall be submitted to the courts of Gelderland, the Netherlands, unless mandatory consumer law in your country requires otherwise.

14. Acceptable Use Policy (part of these Terms)

Sections 15 through 30 set out Meridian's Acceptable Use Policy and are part of these Terms. The URL /compliance/acceptable-use may present the same document.

15. Discord compliance

Meridian depends on the Discord API. You are responsible for every action your bot takes on Discord. Your bots must comply with all applicable Discord policies, including Discord's Terms of Service, Developer Terms of Service, and Community Guidelines, plus rate limits, intent requirements, and restrictions on automated accounts.

Prohibited behavior includes, without limitation: scraping or hoarding Discord tokens, circumventing Discord safety or moderation systems, and using Meridian to facilitate raids, mass unsolicited messages, or other disruptive activity on Discord.

16. Data and privacy

Respect user data when building bots:

  • Collect only what your bot needs to function.
  • Do not harvest member lists, messages, or profiles for unrelated purposes.
  • Do not sell or share private user data without clear consent.
  • Tell server members what your bot stores when required by law or Discord rules.
  • Use Storage variables and transcripts responsibly. Protected transcripts exist for moderation, not public scraping.

17. Conduct and respect

Bots and account holders must not:

  • Spam channels, DMs, or interactions.
  • Harass, bully, or target individuals or groups.
  • Impersonate Meridian, Discord, staff, or other users.
  • Manipulate votes, reactions, or engagement through fake activity.
  • Use bots to bypass moderation or evade server punishments at scale.

18. Prohibited content and activities

You may not use Meridian to create, host, or distribute content or services that:

  • Violate applicable law or promote illegal activity, including fraud, trafficking, or sale of regulated goods without proper authorization.
  • Contain or distribute malware, phishing pages, credential harvesters, or other deceptive or harmful software.
  • Include sexually explicit material involving minors, non-consensual imagery, or exploitation.
  • Promote violence, terrorism, or credible threats against people or groups.
  • Constitute hate speech, harassment, bullying, or targeted abuse based on protected characteristics.
  • Infringe intellectual property, privacy, or publicity rights of others without permission.
  • Facilitate gambling, investment schemes, or other high-risk financial activity where prohibited by law or platform rules.

19. Prohibited bot behavior

Bots hosted on Meridian must not be used to:

  • Send spam, unsolicited direct messages, or repetitive automated messages that degrade user experience.
  • Impersonate Meridian, Discord, another user, or any organization in a misleading way.
  • Collect personal data without a lawful basis and clear notice to affected users where required.
  • Sell, rent, or expose private user or server data to third parties without consent.
  • Bypass Meridian plan limits, security controls, or undocumented APIs.
  • Stress-test, attack, or probe Meridian or third-party infrastructure without written authorization.

20. Security and platform integrity

You must not:

  • Attempt unauthorized access to Meridian systems, other users' accounts, or hosted bot data.
  • Probe, scan, or attack Meridian systems or other users' bots.
  • Share session tokens, bot tokens, API keys, or credentials in public channels, support tickets, or logs.
  • Reverse engineer, decompile, or extract source code from Meridian except where law expressly permits it.
  • Create duplicate accounts to evade limits or bans.
  • Interfere with the stability, availability, or security of the Service for other users.

Report security issues through our Privacy Policy (Security section). Do not exploit vulnerabilities beyond what is needed for a good-faith report.

21. Shared resources and fair use

Meridian provides shared hosting for Discord bots. Fair use exists so every user receives consistent performance and no single bot or account degrades stability, speed, or availability for others.

While we offer scalable resources, all accounts are subject to fair use limits on CPU cycles, memory usage, and input/output operations. Design bots to be efficient. Sustained high-resource usage that resembles a denial-of-service attack is prohibited and may result in automated throttling or suspension.

22. Network and bandwidth

You receive generous bandwidth for standard Discord bot operations. Using Meridian as a proxy, file hosting service, or for massive data scraping that consumes excessive outbound traffic violates this policy.

23. API and database limits

Bots must respect rate limits for reads, writes, and complex queries. Rapid, repetitive polling or spinning on database operations can degrade performance for all users. Prefer event-driven logic and local variables where possible.

24. Storage usage

Storage is intended for bot configurations, logs, and essential persistent data. Using the platform to store large binary files, backups, or non-bot-related media is outside the scope of fair use.

25. Concurrency

Fair use includes a reasonable number of concurrent connections and execution threads. Bypassing concurrency limits by creating multiple dummy accounts or using undocumented APIs is prohibited.

26. Interpretation of unlimited

Where we offer unlimited resources or features, that supports genuine bot growth without arbitrary caps. Unlimited is not infinite. We may apply technical limits if usage becomes extreme, inefficient, or disruptive to shared infrastructure.

27. Intellectual property

Do not use Meridian to host bots or flows that distribute pirated software, counterfeit goods, or other material that infringes copyrights, trademarks, or other rights. We respond to valid copyright notices under our Terms and may terminate repeat infringers.

28. Enforcement

We may investigate suspected violations using logs, telemetry, and reports from users or third parties (including Discord). We continuously monitor system telemetry to detect resource abuse. Depending on severity, we may:

  • Issue a warning and require changes to your bot or account.
  • Temporarily throttle your bot's performance.
  • Throttle or suspend specific bots or features.
  • Suspend or terminate your Meridian account.
  • Delete associated bot data where permitted by law.
  • Cooperate with law enforcement or rights holders in connection with investigations.

We are not obligated to provide advance notice when immediate intervention is needed to protect users, Discord, or the Service. For severe abuse (including malware or child safety issues), we may skip warnings and act immediately. Decisions about excessive resource usage are made at our sole discretion based on technical metrics.

29. Reporting violations

If you believe a Meridian user or bot violates this AUP, contact us through our official support channels with enough detail for us to investigate (for example, bot name, server context, and timestamps). Do not include secrets or personal data unrelated to the report.
